These Terms of Service (“Terms”) are entered into by and between TikStocks Inc. (“TikStocks,” “we,” “us,” or “our”) and you (“you,” “User,” or “Subscriber”). These Terms govern your access to and use of:

• The CompoundSignal website and subscriber portal
• The CompoundSignal newsletter, research, commentary, portfolio updates, educational materials, and related content
• Any other features, software, or tools made available by TikStocks
  (collectively, the “Service”).

Please read these Terms carefully before using the Service. By accessing or using the Service, or by clicking to agree to these Terms, you accept and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

The Service is offered only to individuals 18 years or older. If you are under 18, do not use the Service.

These Terms include a binding arbitration agreement and a class action waiver. Please review Section 19 carefully.

1. Acceptance of Terms

By using the Service, you represent that:

• You are at least 18 years old;
• You have read, understood, and agree to these Terms;
• Your use of the Service will comply with applicable laws.

If you disagree with any part of these Terms, do not use the Service.

2. Service Features and Availability

You may use the Service when and as available. We aim for uninterrupted access but cannot guarantee it. The Service may be unavailable for maintenance, upgrades, outages, or reasons outside our control.

We reserve the right, at any time and without notice, to:

• Modify, suspend, or discontinue any part of the Service;
• Add or remove features;
• Restrict access to any part of the Service.

TikStocks is not liable if all or any part of the Service is unavailable at any time.

3. Accessing the Service and Account Security

(a) Your Responsibilities
You are responsible for:

• Arranging your own internet access;
• Ensuring anyone using your connection complies with these Terms.

(b) Registration
Some sections are publicly viewable, but full access (including research, portfolio updates, archives, or premium content) requires creating an account.

You agree to provide accurate and current information and to keep it up to date.

(c) Account Confidentiality
If you have a username, password, or other credentials:

• Treat them as confidential;
• Do not share them;
• Notify us immediately of unauthorized access.

We may disable any account credentials at any time for violating these Terms or for security reasons.

4. Privacy

Your submission of personal information is governed by our Privacy Policy, which you consent to by using the Service.

5. No Investment Advice; No Reliance

CompoundSignal provides general financial research and market commentary only. Nothing on the Service constitutes:

• Personalized investment advice
• Legal, tax, or financial advice
• A recommendation to buy, hold, or sell securities
• A solicitation to engage in any transaction

You are solely responsible for your investment decisions.

By using the Service, you acknowledge and agree that:

(a) TikStocks is a publishing company, not:

• A broker-dealer
• An investment adviser
• A financial planner
• A fiduciary under any law

(b) All investing involves risk, including the potential loss of capital.
Past performance does not guarantee future results.

(c) CompoundSignal content is general in nature.
It is not tailored to your individual portfolio, financial situation, investment experience, or risk profile.

(d) TikStocks staff may hold positions in securities mentioned. Such holdings do not constitute recommendations.

(e) Market views, models, and methodologies may change.
Performance of past trade ideas or research does not guarantee similar results.

(f) TikStocks will never contact you via:

• Direct messages
• WhatsApp
• Telegram
• Text/SMS
• Instagram/Twitter/other social DMs

Any such messages claiming to be from us are fraudulent.
TikStocks is not responsible for losses arising from interacting with impersonators.

6. Hypothetical Performance Disclosure

Hypothetical, simulated, or backtested performance results:

• Have inherent limitations;
• Do not represent actual trading;
• Are designed with hindsight;
• May not reflect real-world market impacts such as liquidity, slippage, or volatility.

No representation is made that any account will achieve similar gains or losses.

7. Intellectual Property Rights

(a) TikStocks Content

All content on the Service—including text, analysis, graphics, videos, charts, design, layout, and software (“TikStocks Content”)—is owned by TikStocks or its licensors.

You may not copy, distribute, modify, or exploit TikStocks Content unless expressly permitted.

No rights or interests transfer to you.

(b) Your Content

If you upload or submit any content (“Your Content”), you grant TikStocks a non-exclusive, royalty-free license to use it as necessary to operate and improve the Service.

You represent that:

• You own Your Content or have the right to license it;
• Your Content does not infringe the rights of any third party;
• Your Content does not violate any laws.

TikStocks may remove content that violates these Terms.

(c) Systems Data

We may collect and use anonymized or aggregated usage data (“Systems Data”) for analytics, product improvement, marketing, and security purposes.

(d) Feedback

If you submit feedback, suggestions, or ideas, TikStocks may use them without compensation.

8. Subscription Terms and Usage Rights

If you purchase a CompoundSignal subscription:

(a) License

TikStocks grants you a limited, non-transferable, non-sublicensable license to access the Service for personal, informational use only.

You may not:

• Share your login;
• Resell, republish, or redistribute CompoundSignal content;
• Use the Service for professional investment advice or financial services;
• Use the research to trade on behalf of others.

For any business or professional use, contact us for a Professional Use License.

(b) Not Investment Advice

All research is educational and informational—not personalized.

(c) Inputs and Tools

If the Service requests preferences or inputs from you, the output is still non-personalized.

(d) Subscription Term

Subscriptions renew automatically unless canceled prior to the renewal date.

By subscribing, you authorize TikStocks to charge your payment method on file.

(e) Introductory Offers

Discounted introductory offers are available only once per customer. After the introductory period, the subscription automatically renews at standard pricing unless canceled.

No refunds are provided for partial subscription periods.

9. Prohibited Conduct

By using the Service, you agree not to:

• Share, sell, or redistribute CompoundSignal content
• Copy or download research in bulk
• Use bots or automated scripts
• Reverse-engineer or tamper with the Service
• Mine metadata, text, or email lists
• Impersonate any entity or person
• Use the Service to compete with TikStocks
• Introduce malware or harmful code
• Violate any applicable laws
• Interfere with the Service or its security
• Use the Service for life-support or high-risk systems

TikStocks may suspend or terminate accounts for violations.

10. Payments

All fees:

• Are charged in U.S. Dollars;
• Are non-refundable unless expressly stated otherwise;
• May be changed at TikStocks’ discretion.

If your payment fails, TikStocks may use any available payment method or refer your account to collections.

11. Third-Party Content and Links

The Service may contain links or references to third-party sites or materials.

TikStocks is not responsible for:

• Accuracy or legality of third-party content;
• Availability of third-party services;
• Damages from interacting with third-party providers.

Affiliate relationships may exist but do not influence editorial decisions.

12. Monitoring and Enforcement

TikStocks may:

• Disclose your identity to law enforcement if required;
• Remove content violating these Terms;
• Block or suspend access when misuse is suspected;
• Cooperate with investigations.

TikStocks is not obligated to monitor user submissions.

13. No Commercial Use

You may use the Service only for personal, non-commercial purposes unless you obtain a Professional Use License.

If you access the Service on behalf of an entity, you represent you are authorized to bind that entity.

14. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “WITH ALL FAULTS.”

TikStocks disclaims all warranties, including:

• Merchantability
• Fitness for a particular purpose
• Accuracy
• Completeness
• Security
• Non-infringement
• Results

All risk from using the Service is yours.

15. Limitation of Liability

To the fullest extent permitted by law, TikStocks is not liable for:

• Lost profits
• Lost data
• Loss of privacy
• Indirect, incidental, punitive, or consequential damages
• Failures of performance
• Errors, inaccuracies, or omissions
• Unauthorized access or breaches

16. Exclusive Remedy

If TikStocks is found liable, our total liability is limited to the greater of:

1. The subscription fees you paid in the past 12 months; or
2. $100 USD.

Any claim must be filed within one year or it is permanently barred.

17. Termination

Either party may terminate use of the Service at any time.

TikStocks may suspend or terminate your access if:

• You violate these Terms;
• Your payment fails;
• You misuse the Service.

Sections intended to survive termination (e.g., IP, disclaimers, arbitration) will continue in effect.

18. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

The Service is intended for U.S. users and may not comply with laws outside the U.S.

19. Dispute Resolution — Arbitration and Class Action Waiver

(a) Binding Arbitration

Except for small-claims court and intellectual property disputes, all disputes arising from these Terms or the Service must be resolved by binding arbitration, not in court.

(b) No Class Actions

You may bring claims only on an individual basis.
Class actions, class arbitrations, and representative actions are prohibited.

(c) Federal Arbitration Act

This section is governed by the Federal Arbitration Act (FAA).

(d) Process

You must first notify us of any dispute within 30 days:

If the dispute is not resolved within 30 days, arbitration may begin.

Arbitration will occur:

• In Los Angeles County, California, or
• By video conference if agreed.

Administered by JAMS under its rules.

20. Indemnification

You agree to indemnify and hold harmless TikStocks, its officers, employees, contractors, agents, and affiliates from any claims, losses, damages, or liabilities arising from:

• Your use of the Service;
• Your violation of these Terms;
• Your infringement of third-party rights.

21. Notices

TikStocks may send notices to you via email or by posting on the Service.

22. Amendments

We may update these Terms from time to time. Updated Terms take effect immediately upon posting. Continued use of the Service constitutes acceptance.

23. Entire Agreement

These Terms, along with any additional posted policies, constitute the entire agreement between you and TikStocks.

Failure to enforce any right does not waive enforcement later.

No assignment is allowed without TikStocks’ written consent.
